The deadline for certain existing companies in Turkey to increase their share capital to the statutory minimum has been extended to 31 December 2027.

The Ministry of Trade’s Communiqué, published in the Official Gazette dated 17 October 2026, No. 33403, entered into force on the same date.

Which Companies Are Affected?

The extension concerns joint stock companies and limited liability companies whose share capital remains below the applicable minimum. It also covers non-public joint stock companies operating under the registered capital system whose initial or issued capital falls below the relevant thresholds.

The general minimum capital amounts are:

Company type

Minimum capital

Joint stock company (A.Ş.)

TRY 250,000

Limited liability company (Ltd. Şti.)

TRY 50,000

Non-public joint stock company under the registered capital system

TRY 500,000 initial capital

For companies in the third category, the transitional requirements also address the issued capital.

What Does the Extension Change?

The Communiqué extends the compliance deadline from 31 December 2026 to 31 December 2027. It does not reduce the minimum capital amounts or remove the obligation to comply.

The extension concerns the adjustment of existing companies’ capital. It does not allow newly incorporated companies to be established below the applicable minimum.

What Should Companies Do?

Companies below the relevant thresholds now have additional time to plan and complete their capital increases. This includes preparing the necessary corporate resolutions, amendments to the articles of association and trade registry filings.

The extension is also relevant to foreign shareholders in Turkish companies, who may need to coordinate corporate approvals and documentation from abroad.
